Terms of Service

Welcome to Ideya! These Terms of Service ("Terms") govern your use of the Ideya mobile application ("App") and related services provided by SOLZ LLC ("we," "us," or "our"). By downloading, accessing, or using Ideya, you agree to be bound by these Terms.

1. Acceptance and Eligibility

1.1 Agreement

By using Ideya, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference.

1.2 Age Requirements

You must be at least 13 years old (or 16 in certain regions) to use Ideya. If you are under 18, you represent that you have your parent's or guardian's permission to use the App.

1.3 Capacity

You represent that you have the legal capacity to enter into this agreement and that your use of the App will comply with all applicable laws and regulations.

2. Description of Service

2.1 Core Functionality

Ideya is a native iOS application designed for frictionless idea capture and organization. The App allows you to:

• Capture ideas through text input, voice-to-text, voice memos, photos, and videos

• Organize ideas into customizable spaces and categories

• Access offline functionality for uninterrupted use

• Create detailed descriptions for your ideas

Additional features may be added in future updates, including collaborative functionality and AI-powered tools.

2.2 Service Availability

We strive to provide reliable service, but we do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, or technical issues.

2.3 Local Operation

At launch, Ideya operates entirely on your device with no internet connection required for core functionality. Future updates may introduce cloud-based features.

2.4 System Requirements

Ideya requires iOS 15.0 or later and is optimized for iPhone. Compatibility with older versions or other devices is not guaranteed.

3. App Usage and Device Storage

3.1 Local Storage

At launch, Ideya operates as a local-only application:

• Your ideas and data are stored locally on your device

• No account creation or login is required

• Your data remains private and under your control

3.2 Device Responsibility

You are responsible for:

• Backing up your device to preserve your ideas

• Understanding that data may be lost if your device is damaged, lost, or reset

• Managing your device's storage space for optimal app performance

3.3 Future Authentication

Account-based features may be introduced in future updates, at which time additional terms may apply.

4. Subscription Plans and Billing

4.1 Plan Types

Ideya currently offers the following subscription plans:

Free Plan:

• 15 idea cards maximum

• 4 custom spaces

• All capture types (text, voice, photo, video)

Solo Pro (Founders) - $6.99/month:

• Unlimited cards

• Unlimited personal spaces

Additional subscription tiers may be introduced in the future. We will notify existing users of any new plans or features before they become available.

4.2 Billing Terms

• Subscriptions are managed entirely through Apple's App Store

• Your Apple ID handles all payment processing and billing

• No separate Ideya account is required for subscription management

• Payment is processed automatically unless cancelled through your Apple ID settings

• Subscriptions renew automatically until cancelled

• Price changes will be communicated 30 days in advance through the App Store

4.3 Free Tier Limitations

When you reach the 15-card limit on the Free plan, you must either:

• Delete existing cards to create new ones

• Upgrade to a paid plan

• Your ability to create new cards will be suspended

4.4 Cancellation and Refunds

• Cancel anytime through Apple App Store settings

• Cancellation takes effect at the end of the current billing period

• No refunds for unused portions of subscription periods

• Refund requests are handled according to Apple's App Store policies

• After Founder's Subscription has expired, you will be downgraded to Free Tier, however:

  • Users will have access to your existing cards in view only

  • Users can create 15 free cards on top of their existing cards prior to cancellation

  • Existing spaces will also be preserved with full functionality, but you cannot create more than 4 total spaces

5. Content and Data Ownership

5.1 Your Content

You retain full ownership of all ideas, notes, media, and other content you create in Ideya ("Your Content").

5.2 Local Storage

At launch, Your Content is stored exclusively on your device:

• We do not have access to Your Content

• Your data is not transmitted to our servers

• You are responsible for backing up Your Content

5.3 Content Responsibility

You are solely responsible for Your Content and warrant that it:

• Does not violate any laws or third-party rights

• Does not contain malicious code or harmful material

• Complies with these Terms

5.4 Future Cloud Features

If cloud storage or sync features are introduced in future updates, additional terms regarding data processing and storage will be provided.

6. Privacy and Data Collection

6.1 Minimal Data Collection

As a local-only app at launch, Ideya collects minimal data:

• We do not collect or store your ideas, notes, or media

• Basic app usage analytics may be collected through Apple's App Store

• Crash reports may be sent to help improve app stability

6.2 Privacy Policy

Our Privacy Policy provides additional details about any data we collect and is incorporated into these Terms by reference.

6.3 Future Data Processing

If account-based or cloud features are introduced, we will update our privacy practices and notify users accordingly.

7. Prohibited Uses

You agree not to:

7.1 Illegal Activities

• Use the App for any unlawful purposes

• Violate any applicable local, state, or international laws

• Infringe on intellectual property rights

7.2 Harmful Content

• Upload content that is defamatory, harassing, or threatening

• Share content that promotes violence or illegal activities

• Post spam, malware, or other malicious content

7.3 System Abuse

• Attempt to reverse engineer or hack the App

• Use automated tools to access or scrape the service

• Interfere with other users' access or experience

• Circumvent usage limitations or security measures

7.4 Commercial Misuse

• Resell or redistribute the App or its content

• Use the App for competing commercial purposes

• Violate any usage limits or restrictions

8. Intellectual Property Rights

8.1 Our Rights

Ideya, including its design, code, features, trademarks, and associated intellectual property, remains our exclusive property.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the App for personal or internal business purposes in accordance with these Terms.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about Ideya may be used by us without compensation or attribution.

9. Third-Party Services

9.1 Integration Services

Ideya may integrate with third-party services (Apple services, Firebase, etc.). Your use of these services is subject to their respective terms and privacy policies.

9.2 Third-Party Content

We are not responsible for third-party content, services, or links that may be accessible through the App.

10. Disclaimer of Warranties

10.1 As-Is Service

Ideya is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee

We do not guarantee that the App will:

• Be error-free or uninterrupted

• Meet your specific requirements

• Be compatible with all devices or systems

• Preserve all data without loss

11. Limitation of Liability

11.1 Damages Limitation

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use.

11.2 Total Liability Cap

Our total liability to you for all claims relating to the App shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the App

• Your violation of these Terms

• Your infringement of any third-party rights

• Your Content or any content you submit

13. App Removal and Data

13.1 Removing the App

You may stop using Ideya at any time by:

• Deleting the App from your device

• Canceling your subscription through Apple App Store (if applicable)

13.2 Data Deletion

Since your data is stored locally on your device:

• Deleting the app will remove all your ideas and data

• We cannot recover your data once the app is deleted

• We recommend backing up important ideas before removal

13.3 Subscription Termination

• Active subscriptions can be cancelled through your Apple ID settings

• Subscription benefits will continue until the end of the current billing period

14. Changes to Terms

14.1 Modifications

We may update these Terms from time to time to reflect:

• Changes in our services

• Legal or regulatory requirements

• Industry best practices

14.2 Notification

We will notify you of significant changes by:

• Updating the "Effective Date" at the top of this document

• Providing in-app notifications

• Sending email notifications (when applicable)

14.3 Acceptance

Continued use of the App after changes become effective constitutes acceptance of the updated Terms.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except for claims that may be brought in small claims court.

15.3 Severability

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

15.6 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, acts of government, or technical failures.
